Court Of Appeal Confirms Dr. Rajan Mahtani’s Legal Ownership Over Portland Cement Zambia

The case was originally registered at the Lusaka High Court by Dr. Rajan Mahtani after he claimed that the factory was illegally taken over from him. After several court proceedings and a long wait of more than a decade, the judge at the Lusaka High Court gave a final judgment. According to justice Nkonde from the Lusaka High Court, Ventriglias were declared as only shareholders of the Zambezi Portland Cement. It was clear that this decision was misdirected and biased and as a result, compelled Dr. Rajan Mahtani to take another step.
This time, Dr. Rajan Mahtani approached the Court of Appeal which is one of the highest civilian and legal judiciary systems in Zambia. The judge at the Court of Appeal was justice Mwinde who gave the final judgment on 31st January 2019. According to this judgment, Dr. Rajan Mahtani owned Finsbury Investments is majority shareholder of the Zambezi Portland Cement with 58 percent shares. On the other hand, Ventriglias owned Ital Terrazzo Limited holds just 42 percent shares at the factory and is the minority shareholder without any legal ownership over the factory. Based on this decision, it is clear that Dr. Rajan Mahtani is the legal and actual owner of the factory.
While giving this judgment, judge Mwinde from Court of Appeal also said that the judge below him was wrong in declaring Ventriglias as only shareholders as this decision was without any evidences and against the interests of the public policies.

Dr. Rajan Mahtani is a noted businessman and philanthropist in Zambia. For the past one decade, Dr. Rajan Mahtani has been fighting a case at the Lusaka High Court for the legal takeover of the Portland Cement Zambia. During these long case proceedings, Dr. Rajan Mahtani and his lawyers presented with numerous evidences and testimonials. However, his testimonials and significant evidences were conveniently ignored by the judge at the Lusaka High Court. The judge at the Lusaka High Court was justice Nkonde who gave the final judgement that Ventriglias were only shareholders of the Zambezi Portland Cement. To counter this judgement, Dr. Rajan Mahtani then approached the Court of Appeal. 

The Court of Appeal announced its final judgement on 31st January 2019. This judgement was given by justice Mwinde, a noted judge at the court. According to the judgement at the Court of Appeal, Dr. Rajan Mahtani owned Finsbury Investments holds 58 percent shares at the factory and is the majority shareholder of the Zambezi Portland Cement. On the other hand, Ventriglias owned Ital Terrazzo Limited holds just 42 percent shares at the factory and is the minority shareholder without any legal ownership over the factory. The judge at the Court of Appeal also said that this judgement aligned with the original shareholders agreement established in the year 2007. Based on this decision at the Court of Appeal, it is clear that Dr. Rajan Mahtani is the only legal owner of the factory. 

The judge at the Court of Appeal also said that all allegations of forgery were fake and hence discarded. Furthermore, Court of Appeal judge also stated that the judge below him was wrong in declaring Ventriglias as only shareholders.

Portland Cement Zambia Results Out, Dr. Rajan Mahtani Announced At Legal Owner Of Factory

On 31st January 2019, Dr. Rajan Mahtani was relieved after Court of Appeal gave the final judgement on the Portland Cement Zambia. The case has been going on for more than a decade and it took two different courts and two different judges to give a final judgement on the case. The case was initially registered at the Lusaka High Court after Dr. Rajan Mahtani claimed that the factory was illegally taken over from him. Justice Nkonde was the judge who gave the final decision on the case. As per this final decision, Ventriglias were only shareholders of the Zambezi Portland Cement. Since this decision was controversial and misdirected, Dr. Rajan Mahtani took the case to the Court of Appeal.

According To The Final Judgement From Court Of Appeal, Dr. Mahtani Majority Shareholder Of PCZ

After more than ten years, the legal fight for Portland Cement Zambia is over. This legal battle started when Dr. Rajan Lekhraj Mahtani approached the Lusaka High Court after claiming that his factory, Portland Cement Zambia, was illegally taken over from him. Since then, several court proceedings took place, numerous evidences and testimonials were shared and the judges got changed several times. Despite these long lists of evidences and an extended period at the Court, there was no decision on the case at all. The final judgement for the case came from justice Nkonde during the month of May 2018. However, when the final decision came it surprised everyone. According to this final decision, Ventriglias were given majority shareholding of the Portland Cement Zambia limited. 


To counter this decision, Dr. Rajan Mahtani then took the case to the Court of Appeal. The judge who reviewed the case at the Court of Appeal was justice Mwinde, a notable judge. According to the final judgement from the Court of Appeal which was given on 31st January 2019, the judgement from the Lusaka High Court was misdirected and was effectively reversed. The judge at the Court of Appeal announced that Dr. Rajan Mahtani was majority shareholder of the Zambezi Portland Cement with 58 percent shares. On the other hand, Ventriglias were the minority shareholders with only 42 percent shares at the factory. Based on this decision, it is clear that Dr. Rajan Mahtani is the actual owner of the factory. It should be noted here that the shareholding for Portland Cement Zambia belonged to Finsbury Investments which is a company owned by Dr. Rajan Mahtani. While giving the judgement, justice Mwinde also said that this decision aligned with the original shareholders agreement established in the year 2007. 

All forgery related allegations were discarded by the judge and a timeline of three months from the date of the judgement was given for completing all share sales and regulation related activities.

Finsbury Investments Given Majority Shareholding Of Portland Cement By Court Of Appeal

Dr. Rajan Lekhraj Mahtani is a noted businessman, philanthropist and charity worker in Zambia. For the past ten years, he had been fighting for the legal takeover of the ZPC. The final judgement on the case was recently announced. However, Dr. Rajan Mahtani had to approach another court to receive justice. The case was originally registered at the Lusaka High Court. The judge at the Lusaka High Court, who announced the final judgement during the month of May, 2018 was justice Nkonde. Despite sharing evidences and testimonials, Justice Nkonde from the Lusaka High Court announced that Ventriglias were only shareholders of the Zambezi Portland Cement. To counter this decision, Dr. Rajan Mahtani then approached the Court of Appeal.
 

The Court of Appeal announced its final judgement on 31st January 2019. As per this decision, Dr. Rajan Mahtani is the majority shareholder of the Zambezi Portland Cement company as his company; Finsbury Investments holds 58 percent shares at the factory. On the other hand, Ventriglias are only minority shareholders of the Zambezi Portland Cement as their company, Ital Terrazzo Limited, holds just 42 percent shares at the factory. This shareholding pattern announced by the Court of Appeal judge aligns with the original shareholders agreement. Based on this decision, Dr. Rajan Mahtani becomes the legal owner of the Zambezi Portland Cement factory. 

Furthermore, the judge at the Court of Appeal also said that the judge below him was wrong in declaring Ventriglias as only shareholders as this decision was biased and misdirected. A timeline of three months from the date of the judgement has been provided during which all share sales related activities must be completed.
